Contract Specialist

Kelly Services is currently seeking a Contract Specialist  for one of our top clients in Santa Clara, CA.

  • We're seeking a detail-oriented and proactive Contract Specialist to support contract negotiations, supplier onboarding, and ongoing vendor management.
  • This role involves working closely with internal stakeholders and legal teams to ensure contracts are appropriately structured, negotiated, and executed across a range of services — from warehousing to SaaS agreements.
  • The ideal candidate will have strong communication skills, a solid understanding of contract terms (including payment terms), and the ability to manage relationships with suppliers and internal partners effectively.

As a Contract Specialist placed with KellyOCG you will be responsible for the following:
  • Contract Negotiation & Execution
    • Negotiate terms and conditions with suppliers, including payment terms, service levels, and pricing.
    • Coordinate with the Legal team to review and finalize contracts such as Master Service Agreements (MSAs), Statements of Work (SOWs), NDAs, and other vendor agreements.
    • Ensure contracts are compliant with company policies and aligned with business requirements.
  • Supplier Onboarding & Qualification
    • Lead onboarding of new suppliers, ensuring all documentation and due diligence requirements are met.
    • Evaluate and qualify suppliers based on risk, compliance, and service capabilities.
  • Stakeholder Engagement
    • Collaborate with internal teams (Legal, Finance, Procurement, Operations, etc.) to gather contract requirements and ensure alignment across departments.
    • Understand and adapt contracts to suit the specific needs of different business functions (e.g., warehouse services vs. SaaS solutions).
  • Contract & Vendor Management
    • Maintain accurate records of contract terms, supplier information, and renewal dates.
    • Monitor contract performance and flag any deviations from agreed terms.
 
  • Financial Coordination
    • Understand key financial terms such as invoicing requirements, billing schedules, and payment terms.
    • Liaise with Finance to ensure smooth payment processes and resolve invoicing issues.
Requirements:
  • 2–5 years of experience in contract management, procurement, vendor operations, or a related field.
  • Strong understanding of contract structures and key terms (MSA, SOW, payment terms, SLAs, etc.).
  • Experience working with both product- and service-based contracts (e.g., logistics/warehouse, SaaS).
  • Excellent negotiation and communication skills.
  • Ability to read and interpret legal documents and collaborate effectively with legal teams.
  • Customer service mindset with strong interpersonal skills for working with suppliers and stakeholders.
  • Proficiency in tools such as Microsoft Office, Google Workspace, and contract lifecycle management (CLM) systems is a plus.
  • Basic understanding of procurement processes, invoicing, and supplier qualification.

Preferred Qualifications:
 
  • Experience in a cross-functional organization with varying contract needs.
  • Familiarity with compliance and risk considerations in vendor agreements.
  • Exposure to tools like Apex, SAP, Ariba, Ironclad, or similar systems.
