Title and Summary

Senior Counsel, M&A Legal Overview:
Mastercard is hiring an exceptional Senior Counsel of M&A to join our dynamic legal team.

The M&A legal team provides legal support for transactions across the globe, including acquisitions, investments, joint ventures and dispositions. The team partners closely with the Corporate Development and M&A teams, as well as with various global product and services teams and regional teams across the business. The Senior Counsel of M&A would lead deal execution, document negotiation, legal due diligence, regulatory matters and other aspects of deals. In doing so, this lawyer would partner closely with stakeholders across Mastercard, as well as subject matter experts within legal and other functional areas. The team interfaces directly with counterparties and business partners, as well as oversees and manages outside counsel. The position reports to Senior Managing Counsel, M&A Legal Team

Role:
• Lead and support mergers, acquisitions, joint ventures, investments and other corporate transactions through all stages of a transaction lifecycle, including assessment of potential targets, deal structuring, due diligence, negotiation and deal execution.
• Draft, review, and negotiate transaction documents, including letters of intent, acquisition agreements, joint venture agreements, shareholder agreements and other related transaction documents – individually and in collaboration with outside counsel.
• Coordinate diligence efforts internally at Mastercard and with outside counsel.
• Analyze due diligence findings to identify legal risks and develop mitigation strategies.
• Partner with experts within Mastercard and externally to review regulatory, intellectual property, data privacy, employment, cybersecurity and other matters for transactions.
• Manage all antitrust aspects of transactions.
• Effectively manage outside counsel, including the selection of advisors and coordination of efforts to ensure effective legal support during the transaction process.
• Foster and build strong relationships with business stakeholders and department colleagues to promote cross-functional collaboration, as well as ensure seamless legal advice and support to achieve positive results for Mastercard.
• Work with the M&A Legal Team on process improvements, upgrades and best practices for M&A transactions.

All About You:
• JD from an established and reputable law school.
• Significant M&A experience at reputable law firm. In-house experience working as a corporate transactions attorney focused on M&A and investments is preferred.
• Demonstrated M&A and related transactional experience required, project leadership and management, expert drafting, communication, negotiation skills are critical.
• Must exercise good legal and business judgment while working to identify, develop, draft, negotiate and implement proactive and creative business-oriented solutions.
• Aside from being a proven individual contributor, must be able to work as part of a team, and have strong collaborative skills and experience with coordinating cross-functional teams to execute a deal strategy.
• Must have presence, credibility and agility to interact and influence colleagues and transaction participants across functional skillsets and seniority levels.
• Demonstrate a proactive, time-sensitive, results-driven approach in carrying out all duties, obligations, and responsibilities while embodying Mastercard values.
• Must be willing to travel from time to time, depending on the transaction.

Salary range:

In line with Mastercard's total compensation philosophy and assuming that the job will be performed in the US, the successful candidate will be offered a competitive base salary based on location, experience and other qualifications for the role and may be eligible for an annual bonus or commissions depending on the role.
