Job Summary
The Senior Contracts and Legal Specialist plays a key role in the Contracts and Legal Department by managing contracts and legal matters in accordance with organizational standards, regulatory requirements, and best practices. This role oversees the full lifecycle of complex sell-side and select buy-side agreements, including drafting, reviewing, negotiating, executing, tracking, and renewing contracts. The Specialist also maintains and improves processes in the LinkSquares contract management system, supports template and clause library development, and assists with corporate filings and subpoena responses. Serving as a trusted advisor to internal stakeholders, they drive process improvements, mitigate risk, and may step in to oversee departmental operations in the Manager's absence.
Essential Duties and Responsibilities
- Manage the entire contract lifecycle to include intake and triage, drafting, reviewing, negotiating, executing, filing, renewing or terminating contracts of low to high complexity, in alignment with organizational objectives and legal requirements.
- Manage queue of contracting and legal requests according to priority and urgency, while managing multiple, competing deadlines.
- Review, redline, and negotiate contracts according to organizational standards and ensuring regulatory compliance. Primarily sell-side contracting for all lines of business for new business and renewals. Low volume of buy-side contracting aligned by category.
- Oversee and manage a wide variety of contract types including Confidentiality and Non-Disclosure Agreements, Services Agreements, Statements of Work, Business Associate Agreements, Data Protection Agreements, Independent Contractor Agreements, Software License Agreements, and Software as a Service Agreements.
- Determine appropriate routing for deviation reviews and obtain necessary leadership and legal approvals; oversee execution and signature processes.
- Manage expirations and collaborate with Sales & Account Management teams and internal business partners on renewals.
- Maintain and optimize contracting processes within LinkSquares contract management system ensuring accurate data entry, document naming, tagging, and filing.
- Lead and contribute to the development and maintenance of contract templates, legal playbooks, and clause libraries, applying legal expertise to improve efficiency and mitigate risk.
- Oversee and coordinate corporate filings and registrations with government entities, ensuring compliance with jurisdictional requirements.
- Coordinate and prepare document production subpoena responses.
- Serve as a key point of contact to internal stakeholders and business partners on contracting best practices, internal standards, and regulatory compliance.
- Collaborate with Operations & Medical Records teams regarding certain requests for medical records.
- Ensure a high level of responsiveness to internal stakeholders and collaborate on cross-functional objectives.
- Oversee departmental operations and decision-making authority in the Manager's absence, ensuring continuity, compliance, and alignment with organizational strategy.
- Perform additional duties and assume additional responsibilities as identified by manager for the efficient operation of WorkCare.
Qualifications
Education and Experience
- BA/BS Degree required; preferably in Paralegal/Legal Studies, Law, or Business with a Concentration in Law; Juris Doctor preferred but not required.
- Six or more years of contracting experience in a law firm or corporate contracts or legal department.
- Notary, or willing to become one.
- Prior experience in healthcare or other regulated industry preferred.

Computer Skills
- Must be proficient in the Windows operating system environment, Microsoft 365 including Word, Excel, and Teams.
- Must be proficient with Adobe Acrobat Professional and Adobe Sign.
- Experience with contract management system; preference for LinkSquares.
- Familiarity with Salesforce preferred.
- Able to learn other software as needed.
Physical Demands
- Requires sitting for long periods of time, working at a desk.
- Some bending and stretching could be required.
- Working under stress and use of computer/phone required.
- Manual dexterity required for use of computer keyboard and mouse.
- Occasionally may be required to stand, walk, stoop, kneel and/or crouch.
- May occasionally lift and/or move up to 15 pounds.
Work Environment
- Mainly indoor, office environment conditions.
- Work Environment must be free from background noise and distraction, noise level is acceptable, temperature is controlled.
- At home set up must meet all Company IT, privacy and safety requirements.
This is a remote position open to candidates across the US, however, if the chosen candidate is within commuting distance of Orange, CA, this will be a hybrid role.
This position has an annual salary range of $75,000 - $90,000 annually. Final compensation offered will be determined by factors such as job-related knowledge, skills, experience, and qualifications.
